Terms and Conditions

You are accessing the website, digital experience, social media platforms, mini-programs, mobile applications, or other products or services operated, managed, and/or maintained by SmartHub New Retail Tech Limited (as defined below) (collectively, the “Smart New Retail Platform“) via a computer terminal, mobile device, wearable device, or other equipment.

Before placing an order for goods and/or services on the Smart New Retail Platform, please carefully read and fully understand the entirety of these Sales Terms and Conditions (the “Sales Terms“), especially the clauses that limit or exclude Smart New Retail’s liability, impose restrictions on consumer rights, and stipulate applicable laws and dispute resolution. We have highlighted such clauses—which may limit or exempt Smart New Retail’s liability or otherwise significantly impact your rights—in bold or with underlining for your attention. By placing an order on the Smart New Retail Platform, you acknowledge that you have read, understood, and fully agreed to these Sales Terms. If you do not agree to these Sales Terms or any part thereof, please refrain from ordering goods or services from the Smart New Retail Platform.

1. Scope of These Sales Terms

These Sales Terms apply to consumers (“you“) globally (solely for the purpose of these Sales Terms) who place orders for goods and/or services on the Smart New Retail Platform. These Sales Terms constitute a legally binding agreement between you and Smart New Retail Commerce Limited and its affiliates (“Smart New Retail,” “we,” or “our“) regarding the goods and/or services you purchase on the Smart New Retail Platform.

2. Placing Orders on the Smart New Retail Platform

2.1 Eligibility to Order

You must be of legal age and possess the legal capacity to enter into contracts for the goods and/or services you purchase. If you are a minor or lack such capacity, you must ensure that you obtain consent from your parent or guardian before purchasing goods and/or services on the Smart New Retail Platform.

2.2 Order Placement

(1) To place an order, you must provide a valid mobile number or email address, along with the full name of the recipient, the recipient’s phone number, a valid delivery address, and a payment method. You may also need to enable (functional) cookies and pop-ups in your browser to access all features of the Smart New Retail Platform, including customizing products (where applicable), adding items to your cart (where applicable), and submitting orders.

(2) When purchasing goods and/or services on the Smart New Retail Platform, please carefully review the product name, price, quantity, model, specifications, size, recipient’s full name, delivery address, phone number, and other order details to ensure all provided information is accurate, complete, and valid.

(3) After you submit an order, we will send you an SMS and/or email (or notify you via other reasonable means) confirming receipt of your order (or order creation). Upon successful payment, we will send a shipping confirmation (“Order Confirmation“), at which point a legally binding contract is formed between you and us for that order. However, if you are a consumer purchasing goods and/or services for daily living needs, the contract is formed and becomes effective upon successful payment.

(4) Please safeguard your account, password, and order information. If you suspect any unauthorized access to your account, data breaches, theft, or loss of order information, please notify us immediately. We may require reasonable time to act on your request, and our actions will be limited to what is reasonably feasible. Even if we take action, we may not be able to prevent all losses or damages. If your account, password, or order information is compromised due to your actions or third-party misconduct (e.g., cyberattacks, fraud), Smart New Retail shall not be liable for any resulting order cancellations, lost goods, or other damages, unless authorities determine that we are at fault.

3. Data Verification

After you submit an order, we may conduct automated and/or manual checks to detect abnormal, suspicious, fraudulent, or fake transactions. We reserve the right to investigate such activities and take further action, including but not limited to refusing sales, canceling orders, suspending/closing accounts, and recovering losses.

4. Pricing and Payment

4.1 Pricing

(1) Prices on the Smart New Retail Platform include applicable VAT. The total amount displayed at checkout covers taxes and shipping (if applicable).

(2) Prices and shipping fees (if applicable) are displayed in RMB. If you pay by credit card, the total amount will be converted to your local currency based on the exchange rate at the time of payment. Your bank may apply a different exchange rate, which is beyond our control.

(3) Shipping fees are calculated per order and depend on your account status (guest or member) and chosen delivery method. Free standard shipping (“Standard Delivery“) applies if your order meets the minimum spend threshold or other conditions specified on the Smart New Retail Platform. Expedited shipping options may incur additional fees, as indicated at checkout.

(4) Prices may change, but the final price is the one displayed at checkout when your order is successfully created.

4.2 Payment

(1) Available payment methods are listed at checkout. We do not accept other payment methods.

(2) Upon successful payment, funds will be deducted from your account. We will ship your order after receiving payment. Unless otherwise stated, unpaid orders will be automatically canceled after 30 minutes.

4.3 Invoices

To request an invoice, provide billing details at checkout or contact customer service afterward.

5. Our Right to Reject Orders or Terminate Contracts

All orders are subject to product availability. To the fullest extent permitted by law, we reserve the right to reject orders for any reason. We may also cancel orders or terminate contracts under the following circumstances (and refund you without liability, unless otherwise required by law):

(1) Mutual agreement;
(2) Out-of-stock items;
(3) Incorrect/unverifiable billing information;
(4) Suspected fraud (e.g., bot-generated orders);
(5) Unpaid orders beyond the specified timeframe;
(6) Violation of age/legal capacity requirements;
(7) Exceeding purchase limits;
(8) Excessive/fraudulent returns;
(9) Force Majeure events (see Section 9);
(10) Pricing/display errors;
(11) Invalid delivery/contact information;
(12) Violation of platform rules;
(13) Other lawful grounds.

6. Shipping and Delivery

6.1 Delivery – When and Where

(1) Logistics Delivery: We deliver to the address specified in your order. You or an authorized recipient must sign for the package. Deliveries may be left at designated pickup points per courier policies. Shipping is unavailable on certain public holidays and limited to regions listed at checkout.

(2) In-Store Pickup (if applicable): Some products require pickup at designated stores by a specified date; late pickups may result in order cancellation.

(3) Pre-Order/Custom Products: Delivery times depend on stock availability and production lead times. Estimated timelines are non-binding. 

6.2 Split Shipments

We aim to deliver all items together but may ship separately due to warehouse/manufacturing constraints (e.g., products made in different factories). Split shipments incur no extra fees.

6.3 Delivery Inspection

Check for damaged packaging upon delivery. If damage is found, refuse the shipment, notify the courier, and contact us promptly.

7. Transfer of Ownership and Risk

Ownership and risk of loss transfer to you upon delivery to the carrier (unless local law mandates otherwise). For in-store pickups, transfer occurs at collection. However, we retain ownership until full payment is received.

8. Returns and Order Cancellations

8.1 Your Right to Cancel Orders

(1) Track your order status via your account (or guest order lookup).

(2) Cancel orders online before shipment (subject to system availability). Post-shipment, returns apply.

(3) For stalled orders, contact customer service to request cancellation (if feasible).

8.2 Post-Delivery Returns – Defective/Incorrect Items

Return defective/non-conforming goods per our return policy. Valid claims entitle you to a full refund (including return shipping costs).

8.3 Post-Delivery Returns – Other Items

(1) Non-customized, unused, undamaged items in original condition may be returned within 7 days for any reason. Return shipping is your responsibility unless otherwise stated.
(2) Certain products may have different return rules (see product pages).

8.4 Refunds

Refunds are generally issued to the original payment method. Exceptions (e.g., bank transfers) require you to provide alternative account details. Processing times depend on your bank.

9. Force Majeure

Force Majeure events (e.g., strikes, natural disasters, pandemics, network failures) beyond our control may delay or suspend our obligations. We will notify you and resume performance once the event ends. You may cancel affected orders per Section 8.

10. Governing Law and Dispute Resolution

10.1  Governing Law

Disputes related to these Sales Terms or purchases are governed by Chinese law (excluding conflict-of-law rules and the 1980 UN Convention on Contracts for the International Sale of Goods).

10.2  Dispute Resolution

Disputes shall first be resolved through friendly negotiation. If unresolved, either party may sue in the competent courts of Hong Kong Island (Smart New Retail’s registered location), waiving jurisdictional objections.

11. Miscellaneous

11.1 Terms of Use; Privacy Policy

The Smart New Retail Platform’s Terms of Use and Privacy Policy are incorporated herein. In case of conflict, these Sales Terms prevail.

11.2 Assignment

We may assign our rights/obligations without affecting yours. You may not assign without our prior written consent.

11.3 Severability

If any clause is deemed invalid, the rest remain enforceable.

11.4 No Waiver

Our failure to enforce a right does not waive it. Waivers must be in writing.

11.5 Amendments

We may revise these Sales Terms and will post updates on the Smart New Retail Platform. Revised terms apply to new orders placed after the effective date.
